This agreement details the terms and conditions for enrolment in Dr Morse Herbs UK online Practitioner Affiliate Program. The terms "Affiliate," "you," and "your" refer to you, the applicant. "We" and "our" refer to Dr Morse Herbs UK. We are independent parties, and this agreement does not constitute any kind of partnership.
This agreement begins as soon as your affiliate application has been accepted and ends when terminated by either party. Termination may happen at any time, with or without cause.
Note that affiliate accounts that are unused for a period of 12 months or more will be deleted.
Dr Morse Herbs UK does not anticipate making any changes to the terms and conditions of this agreement at any time in the foreseeable future.
Should it be necessary to make any changes, affiliates will be notified of any impending changes to terms and conditions by email 14 days in advance of the said changes taking effect.
The changes may include, but are not limited to, changes in referral fees, fee schedules, payment procedures and program rules. If you find any of the changes unacceptable, you may terminate the Agreement at any time. Continued participation in the Practitioner Affiliate Program following any changes will be understood as acceptance of the said changes.
Practioner Affiliates will receive the following commissions:-
6% commission on the total value of the customer order (excluding VAT and postage), of clients you are working with.
Where you refer a client who you are not working with (including preparing their herb protocol) the commission is limited to 3% (before VAT and postage).
Commission can only be earned in the time period between the acceptance of the Affiliate application and notice of termination. All commissions will be paid by Dr Morse Herbs UK. Any customer chargebacks or fees from a returned order will be adjusted in the next fee payment.
Commission will not be paid for orders from existing Dr Morse Herbs UK Customers.
Commission will not be paid for affiliates' personal orders.
Note: Dr Morse Herbs UK can alter commission % over time based on current market conditions.
Payments are made monthly after the end of each month. Payments for less than £10 will be carried forward to the following month.
Dr Morse Herbs UK will not be liable for any indirect damages, loss of revenue, profits or data arising, in connection with the Agreement of the Program, even if we have been informed of the possibility of such damages.
It is the responsibility of Dr Morse Herbs UK to process every order placed by a customer on our sites. Customers who purchase products through the Affiliate Program are deemed to be customers of Dr Morse Herbs UK. Prices and availability of our products and services may vary on occasions. We reserve the right to reject any order that does not comply with our operating procedures and policies.
Dr Morse Herbs UK reserve the right to reject from the Affiliate Program websites whose content we consider to be unsuitable. We reserve the right to cancel any Affiliate account if we deem the sites or links are used in an inappropriate way.
Practitioners are expected to be at least level 1 qualified with Dr Morse nd (ISOD), and actively working with clients. Certificates will be checked on request from Dr Morse Herbs UK.
All Affiliates are expected to adhere to Dr Morse Herbs UK policy of not participating in any mass unsolicited emailing (Spam). Any violation of this policy will result in the Affiliate being immediately dismissed from the Dr Morse Herbs UK Affiliate Program with all unpaid commissions being forfeited.
Dr Morse Herbs UK does not express or imply any warranties or representations in respect of the Affiliate Program or an Affiliate's potential to earn income from our Program. We make no representation that either our site or that of the Affiliate Program will be uninterrupted or error-free and we will not be liable for any consequences of interruptions or server downtime.
This Agreement will be governed by the laws of the United Kingdom and any action relating to this Agreement must be brought in the courts located within the United Kingdom where you consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
By participating in this Affiliate Program you are acknowledging and consenting that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
